Teacher Service Agreement
Bluepip Academy International
Effective Date: 17 March 2026
AGREEMENT BETWEEN:
Bluepip Academy International (the “Company”), a tutoring platform operating at bluepip.gbis.com.ng
— and —
The individual teacher named in the onboarding form (the “Teacher”)
Together referred to as the “Parties”.
IMPORTANT NOTICE
This Agreement constitutes a legally binding contract between you and Bluepip Academy International. Please read it carefully before accepting. By completing the onboarding process and accessing the Teacher Dashboard, you confirm that you have read, understood, and agree to be bound by the terms of this Agreement.
1. Nature of the Relationship
1.1 Independent Contractor
The Teacher is engaged by Bluepip Academy as an independent contractor and not as an employee, partner, agent, or joint venturer. Nothing in this Agreement shall be construed to create an employment relationship.
The Teacher is responsible for:
- Their own tax filings and payments (income tax, VAT, and any other applicable taxes)
- Their own professional indemnity and liability insurance, where applicable
- Their own equipment, internet connection, and workspace
- Compliance with all laws applicable to their self-employed status in their jurisdiction
Bluepip Academy is not responsible for deducting income tax, national insurance, social security, or any other statutory contributions from payments made to the Teacher.
1.2 No Exclusivity
This Agreement is non-exclusive. The Teacher may provide tutoring services to other platforms or clients, provided that:
- Such activities do not conflict with sessions scheduled on the Bluepip Academy platform
- Such activities do not involve soliciting Bluepip Academy students directly
- Such activities do not breach the confidentiality obligations in Section 8
2. Services
2.1 Teaching Duties
The Teacher agrees to:
- Deliver live online tutoring sessions to assigned students on the Bluepip Academy platform
- Prepare adequately for each session, including reviewing any curriculum or materials relevant to the student’s level
- Upload lesson materials to the Platform after each session (or in advance, where appropriate)
- Complete any post-session notes required by the Platform
- Submit assessments and end-of-term progress reports as required
2.2 Session Standards
Each session must meet the following minimum standards:
- Begin on time (within 5 minutes of the scheduled start time)
- Be delivered for the full scheduled duration (60 minutes minimum unless otherwise agreed)
- Take place via the Bluepip Academy platform’s integrated video conferencing tool
- Be recorded (all sessions are recorded automatically; the Teacher must not disable or circumvent recording)
- Be conducted in a professional, safe, and appropriate environment (private room, suitable background, professional attire)
2.3 Subjects and Levels
The Teacher’s approved subjects and age group levels are confirmed during the onboarding process. The Teacher may not deliver sessions outside their approved scope without prior written authorisation from Bluepip Academy.
2.4 Minimum Internet Requirement
The Teacher must maintain a stable internet connection of at least 5 Mbps upload speed to deliver sessions reliably. Technical failures caused by the Teacher’s equipment or connection are treated as Teacher-side issues.
3. Scheduling and Availability
3.1 Providing Availability
The Teacher is required to provide Bluepip Academy with their weekly availability windows at least 7 days in advance. Changes to confirmed scheduled sessions require a minimum of 48 hours’ notice to the Platform.
3.2 Assigned Sessions
Once a session is confirmed in the Platform’s scheduling system, it constitutes a firm commitment. The Teacher must treat scheduled sessions as binding appointments.
3.3 Session Cancellation or Rescheduling
If the Teacher needs to cancel or reschedule a session, they must:
- Report unavailability immediately via the Teacher Dashboard (using the “Report Absence” function)
- Notify the Platform at least 24 hours in advance wherever possible
- Provide a reason (illness, emergency, bereavement, technical difficulty, or other)
Cancellations classified as:
- Excused (more than 24 hours’ notice, with valid reason): 0 conduct strikes
- Late Notice (less than 24 hours’ notice, with reason): 0.5 conduct strikes
- Unexcused (no notice, or pattern of last-minute cancellations): 1.0 conduct strike
Conduct strikes are governed by Section 9 of this Agreement.
4. Compensation
4.1 Session Fees
The Teacher’s per-session fee rate is confirmed in writing during the onboarding process. Rates may vary by:
- Session type (1-on-1 vs. group)
- Subject and level
- Teacher tier/performance band
4.2 Group Session Multipliers
For group sessions (2 or more students), the following multipliers apply to the base rate:

4.3 Wallet System
Each completed session automatically credits the Teacher’s platform wallet. The Teacher may view their wallet balance at any time from the Teacher Dashboard.
4.4 Payment Threshold
Payment requests may be submitted once the wallet balance reaches the applicable minimum threshold:
- Nigerian Naira (NGN): ₦60,000
- US Dollars (USD): $40
4.5 Payment Request Process
- Teacher submits a payment request from the Wallet section of the Teacher Dashboard
- Teacher confirms their bank account details are current before submission
- Bluepip Academy reviews and approves the request within 3 business days
- Payment is made by bank transfer to the account on file
- A maximum of 2 payment requests per calendar month is permitted
4.6 Wallet Currency
The Teacher’s wallet currency (NGN or USD) is determined at onboarding. Currency cannot be changed mid-engagement without prior agreement.
4.7 Non-Credit for Missed Sessions
Sessions that are missed by the Teacher (whether excused or unexcused) will not be credited to the Teacher’s wallet. Only sessions marked “Completed” by the Platform will be credited.
4.8 Disputed Amounts
Any query about a wallet credit or payment must be raised within 14 days of the relevant transaction date. We will investigate and respond within 5 business days.
5. The No-Contact-Exchange Rule
This is a non-negotiable requirement of this Agreement.
5.1 Prohibition
The Teacher must never, under any circumstances:
- Exchange personal email addresses, phone numbers, or social media handles with students or parents
- Communicate with students or parents through any channel outside the Bluepip Academy platform
- Share any personal contact information (their own or another’s) with students or parents
- Attempt to establish or maintain a direct relationship with a student or parent outside the Platform
5.2 All Communication Through the Platform
All communication with students and parents must occur exclusively through:
- The Platform’s internal messaging system
- The live video session on the Platform
- Materials uploaded to the Platform
The Teacher must never provide a personal Zoom link, WhatsApp number, email address, or any equivalent to a student or parent.
5.3 Consequences
Violation of this rule will result in immediate termination of this Agreement without notice and forfeiture of any wallet balance accrued since the violation. Bluepip Academy reserves the right to report safeguarding concerns to the relevant authorities.
6. Safeguarding and Child Protection
6.1 Commitment to Safety
The safety and wellbeing of students is Bluepip Academy’s highest priority. The Teacher acknowledges that they are working with children and young people and accepts the associated responsibilities.
6.2 Teacher Obligations
The Teacher must:
- Ensure sessions are conducted in a visually appropriate environment (no bedroom backgrounds, no inappropriate items visible)
- Wear appropriate, professional attire during all sessions
- Never conduct sessions where a third party not authorised by Bluepip Academy is present and visible on camera
- Never record sessions independently (all recording is managed by the Platform)
- Report immediately any disclosure of harm, abuse, or safeguarding concern made by a student to safeguarding@bluepipacademy.com
6.3 DBS / Background Checks
Teachers may be required to provide evidence of a background check (DBS certificate or equivalent for their country) before or during engagement. Bluepip Academy reserves the right to request updated checks at any time.
6.4 Zero Tolerance
Bluepip Academy maintains a zero-tolerance policy regarding any conduct that could harm a child. Any behaviour that constitutes grooming, exploitation, inappropriate contact, or emotional, physical, or sexual abuse will be reported immediately to law enforcement.
7. Platform Conduct and Performance
7.1 Professional Standards
The Teacher agrees to:
- Treat all students, parents, and Platform staff with respect and professionalism
- Not discriminate against any student on the basis of race, gender, religion, disability, or any other protected characteristic
- Respond to internal messages within 24 hours on business days
- Maintain their teaching materials to a high standard
7.2 Performance Monitoring
Bluepip Academy monitors teacher performance using a weighted scoring system across five metrics:

Performance scores are calculated weekly. Teachers may view their simplified performance card in the Teacher Dashboard.
8. Confidentiality
8.1 Confidential Information
During this engagement, the Teacher will have access to confidential information including but not limited to:
- Student personal data (names, ages, school grades, learning needs)
- Parent contact details
- Platform session recordings
- Bluepip Academy’s pricing, business operations, and platform structure
- Any information explicitly marked as confidential
8.2 Obligations
The Teacher agrees to:
- Keep all confidential information strictly private
- Not disclose any confidential information to any third party
- Not use confidential information for any purpose other than delivering the agreed tutoring services
- Return or delete confidential information upon termination of this Agreement
These obligations survive the termination of this Agreement for a period of 3 years.
8.3 Student Data
The Teacher must treat all student data as sensitive personal data. The Teacher is prohibited from:
- Storing student data on personal devices or third-party services
- Sharing student information with any person outside the Platform
- Using student data for any purpose outside of delivering the agreed sessions
9. Conduct Strikes and Disciplinary Process
9.1 Strike System
Bluepip Academy operates a rolling 90-day conduct window. Strikes accumulate within this window and reset after 90 days.

9.2 Flags and Admin Responses
When a flag is raised, Bluepip Academy may:
- Issue a formal warning (recorded on file)
- Dismiss the flag (if found to be unwarranted)
- Suspend the Teacher for a defined period (wallet frozen during suspension)
- Terminate the Agreement (see Section 10)
9.3 Right to Respond
Before any formal warning, suspension, or termination (except in cases of immediate safeguarding concern), the Teacher will be given an opportunity to respond in writing.
10. Termination
10.1 By the Teacher
The Teacher may terminate this Agreement by giving 14 days’ written notice by email to hr@bluepipacademy.com. Sessions already scheduled must be honoured during the notice period unless otherwise agreed.
10.2 By Bluepip Academy
Bluepip Academy may terminate this Agreement:
- With 14 days’ notice for any reason not constituting misconduct
- Immediately and without notice in cases of:
- Gross misconduct (including violation of the No-Contact-Exchange Rule)
- Safeguarding breaches
- Fraudulent activity
- 5 or more unexcused absences in the 90-day window
10.3 Wallet on Termination
Upon termination:
- Any unpaid wallet balance above the applicable threshold will be paid to the Teacher within 14 days, provided termination is not due to gross misconduct
- In cases of gross misconduct, Bluepip Academy reserves the right to withhold part or all of the wallet balance pending investigation
11. Intellectual Property
11.1 Teaching Materials
Materials created by the Teacher and uploaded to the Platform remain the intellectual property of the Teacher. By uploading them, the Teacher grants Bluepip Academy a non-exclusive, royalty-free licence to make those materials available to the enrolled student(s) for the duration of their enrolment.
11.2 No Resale
The Teacher may not resell, reproduce, or commercially distribute materials developed specifically for Bluepip Academy students.
11.3 Platform Content
The Teacher has no rights to the Bluepip Academy platform, branding, software, or any other content that is not their own uploaded materials.
12. Internet and Equipment
The Teacher is solely responsible for:
- Their device, webcam, microphone, and any other equipment
- Their internet connection and its reliability
- Their electricity supply and workspace
- Any software required to access the Platform
Bluepip Academy will not reimburse the Teacher for equipment or connectivity costs.
13. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria. Any dispute arising from this Agreement that cannot be resolved by negotiation shall be referred to arbitration under the Arbitration and Conciliation Act (as amended), with proceedings conducted in English.
14. Amendments
Bluepip Academy may update this Agreement from time to time. We will provide at least 14 days’ written notice of any material changes. The Teacher’s continued provision of sessions after that date constitutes acceptance of the updated Agreement.
15. Entire Agreement
This Agreement, together with the Platform’s Terms of Service, Privacy Policy, and Safeguarding & Child Protection Policy, constitutes the entire agreement between the Parties regarding the Teacher’s engagement with Bluepip Academy.
Acceptance
By completing the Teacher onboarding process and accepting this Agreement electronically, the Teacher confirms they have read, understood, and agreed to these terms.
